DegenPhone Labs — Terms of Service

These Terms ("Terms") are an agreement between you ("User") and DegenPhone Labs ("DegenPhone", "Degenphone", "degenphone", "we," "us," or "our"). By accessing or using DegenPhone services, applications, or smart-contract systems (collectively, the "Platform"), you agree to these Terms. If you do not agree, please discontinue use of the Platform.

1. Introduction

DegenPhone is a decentralized, non-custodial service that enables users to mint, hold, and trade blockchain-based mobile phone numbers represented as NFTs. Each NFT corresponds to a real Tier-1 eSIM, offering secure and privacy-oriented access to messaging and (soon) voice communication via our web interface.

DegenPhone may operate on multiple blockchain networks, including but not limited to TON, Solana, and other compatible chains. Network choice may change or expand over time.

DegenPhone Labs is dedicated to maintaining transparent communication, responsible innovation, and long-term service reliability. While decentralized technology carries uncertainty, our team will use best efforts to ensure the continuity, security, and integrity of the Platform.

1.1 Account and Wallet

Access to DegenPhone requires a compatible blockchain wallet. For example, participation on Solana requires a Solana-compatible wallet such as Phantom or Solflare. Your NFT and number are tied to your wallet address. We never access your private keys or seed phrases and cannot recover lost wallets or credentials.

1.2 Ownership

Ownership of minted numbers is verifiable on-chain and cannot be reversed. All sales are final. You may freely transfer or resell your NFT through any compliant marketplace.

1.3 Fees, Taxes, and Local Regulations

You are responsible for all applicable taxes, fees, and local-law compliance related to your use of the Platform. Transaction or platform fees may apply and will be disclosed prior to execution.

1.4 Availability

We may limit access in certain jurisdictions where blockchain or telecom-related activity is restricted. We will use reasonable efforts to maintain broad availability but cannot guarantee uninterrupted access in all regions.

2. Platform Functionality

Users may obtain and manage DegenPhone numbers and use eSIM-based communication features provided through the web application. Voice calling functionality is under active development and planned for Q4 2025.

2.1 NFT Issuance and Distribution

NFT issuance occurs through smart contracts deployed by DegenPhone. Each contract defines its own supply and pricing logic, which is immutable once deployed. NFTs represent digital collectibles only and do not confer ownership in DegenPhone Labs, any profit rights, or future financial returns.

All on-chain transactions are final once confirmed by the respective blockchain.

2.2 Responsibility for Use

You are solely responsible for all actions and communications conducted through your DegenPhone number. Misuse—including spam, harassment, fraud, or other unlawful behavior—may result in temporary or permanent service restrictions. On-chain NFT ownership is never revoked, but network or telecom access may be limited to comply with law.

2.3 Top-Ups

Every two years after initial purchase, you must top up your number to maintain telecom access. Top-ups may be paid using TON, SOL, USDT, USDC or other accepted currencies. Service fees, if any, will be disclosed before payment. Failure to top up affects only service functionality, not NFT ownership.

2.4 Misuse of Services

Illegal use, impersonation, fraud, harassment, or abuse of telecom features are strictly prohibited. We may suspend or restrict access if misuse is detected, but we will make commercially reasonable efforts to notify you and resolve issues transparently.

2.5 Launchpool

The Launchpool a.k.a Pre-sale a.k.a Pool feature allows users to deposit supported tokens (e.g., TON, SOL) for NFT reward distributions. Allocation and reward structures are published on the official Pool page. Parameters may change based on participation levels. We will communicate any material adjustments through official channels.

3. Integration, Limitations, and Third-Party Use

Your DegenPhone number may integrate with external dApps or services. While we aim for broad compatibility, we cannot guarantee ongoing support from third parties.

3.1 Service Independence

Your NFT remains valid and tradable regardless of integrations. Third-party tools operate under their own terms.

3.2 Programmatic Use

APIs and developer tools may be released in future iterations. We cannot guarantee timing or functionality and may adjust technical interfaces as needed.

4. Risks and Disclaimers

Blockchain technologies are experimental and carry inherent risks. Smart-contract vulnerabilities, network congestion, or regulatory actions may affect the Platform.

We will use best efforts to provide stable, secure, and user-friendly services; however, DegenPhone cannot ensure uninterrupted access or value stability of NFTs. Participation is voluntary and at your own risk. We encourage users to understand these risks before engaging.

5. Termination of Access

We may suspend or restrict access if required by law, regulation, or for security reasons. Where feasible, we will notify affected users and make commercially reasonable efforts to restore functionality promptly.

Ownership of NFTs recorded on-chain always remains with you. In limited cases (e.g., legal orders, compliance requests), telecom-level eSIM access may be paused or revoked.

We may also modify or discontinue portions of the Platform to improve security or comply with evolving regulations. We will make good-faith efforts to maintain continuity and inform users via official announcements.

DegenPhone Labs does not provide refunds for interruptions beyond its control.

6. Limitation of Liability

To the maximum extent permitted by law:

DegenPhone Labs and its affiliates shall not be liable for indirect or consequential damages, including loss of data, revenue, or opportunity.

We are not responsible for failures arising from user error, wallet loss, private-key compromise, or third-party integrations.

While we implement industry-standard security measures, we cannot guarantee absolute protection against blockchain risks.

That said, we are committed to acting in good faith and maintaining robust security and reliability standards across all supported chains.

7. Changes to These Terms

We may update these Terms to reflect product, legal, or technological developments. Material changes will be posted on our website or official communication channels. By continuing to use the Platform after changes take effect, you agree to the updated Terms. We encourage periodic review so you remain informed.

8. Resale Platform

8.1 Description

The DegenPhone resale platform enables users to buy, sell, and trade DegenPhone NFTs via smart contracts. DegenPhone acts solely as a technical facilitator, not a party to user-to-user contracts. All transactions occur at the users' sole discretion and risk.

We make no representations regarding authenticity, value, or legality of any NFT listed for resale.

8.2 Terms of Sale

Transactions on the resale platform are executed through blockchain smart contracts on supported networks (e.g., TON, Solana). All transactions are final once confirmed on-chain. DegenPhone has no control over blockchain execution and cannot reverse or modify completed trades.

When purchasing an NFT, you acquire ownership of that digital token and associated phone-number functionality. Refunds are not provided except where required by applicable law.

8.3 Fees and Royalties

By using the resale platform, you agree to pay:

Blockchain transaction ("gas") fees; and
A platform service fee, currently 5 % of the sale price.

Exact gas costs may vary by network. Fee structures may be adjusted, and updates will be announced through official channels.

8.4 User Responsibilities

Users are solely responsible for:

Complying with all applicable laws and tax obligations;
Verifying NFT authenticity and metadata prior to purchase; and
Maintaining wallet security and ensuring sufficient funds for transactions.

8.5 Platform Access and Termination

We reserve the right—only in exceptional circumstances —to suspend or restrict platform access (for example: address fraud, legal compliance, or technical threats). Whenever feasible, we will provide notice and a clear explanation.

Our goal is to preserve a safe, transparent environment. We will always act in good faith and employ commercially reasonable efforts to maintain platform stability.

9. Token Sale and Jurisdictional Notices

DegenPhone NFTs and any related token offerings are digital collectibles, not investment products, securities, or financial instruments. They carry no ownership, dividend, or profit rights in DegenPhone Labs or any affiliated entity.

Participation may be restricted for residents or citizens of certain jurisdictions, including but not limited to the United States, the European Union, the United Kingdom, and jurisdictions subject to sanctions or crypto prohibitions. By participating, you confirm that you are not a resident of such restricted areas and that your involvement complies with local law.

You are solely responsible for determining whether token or NFT purchases are legal in your jurisdiction. DegenPhone Labs accepts no liability for users acting in violation of local restrictions.

10. General Provisions

Independent Relationship: Use of DegenPhone does not create a partnership, employment, or agency relationship.

Entire Agreement: These Terms represent the full understanding between you and DegenPhone Labs and supersede prior communications.

Severability: If any provision is found invalid, remaining terms remain enforceable.
